TimeSmartAI Inc. and its affiliates and subsidiaries, doing business as TimeSmart.AI ("TimeSmartAI", "TimeSmart.AI" "we", "us" or "our") recognize the importance of your personal information. This Privacy Policy sets out how TimeSmart.AI uses, collects, and safeguards information that it collects from its customers, visitors and users (collectively, the "Users") through, or in association with, its website with a homepage located at https://www.timesmart.ai (the "Platform"), its Software and Services that may be offered, its related websites, social media sites, mobile application, or otherwise through Users’ interactions with TimeSmart.AI (the Platform, Products, Software, Services, mobile application, and social media pages, collectively, the "Software and Services"), why it collects that information, how it uses that information, and to whom and in what capacity it shares that information. By accessing the TimeSmart.AI Platform, Software and Services, using features of the Software and Services, or submitting information to TimeSmart.AI, you are bound by all terms and conditions in the Terms of Use License Agreement (the "Terms of Use") and this Privacy Policy.
The information you share with TimeSmart.AI allows us to provide the services you need and want while giving you the best experience we can. We respect the trust you place in us and the privacy of the information you share. Part of providing superior services includes making sure that we are building a relationship of trust with you. We do this by letting you know in a clear and prominent way how we collect, use, share and most importantly protect your personal information.
We reserve the right to make changes to this Privacy Policy at any time and for any reason. We will alert you about any changes by updating the "effective date" section of this Privacy Policy. Any changes or modifications will be effective immediately upon posting the updated Privacy Policy on our Platform, Software and Service and you waive the right to receive specific notice of each such change or modification.

Each time you access the Platform or use the Software and Services, the most recent version of the Policy will apply. We will ensure that all Personal Information (as defined below) that we collect and maintain will be (i) processed lawfully, fairly, and in a transparent manner; (ii) collected for specified, explicit and legitimate purposes and not further processed in a manner that is incompatible with those purposes; (iii) adequate, relevant, and limited to what is necessary; (iv) accurate and kept up to date; and (v) processed in a manner that ensures appropriate security of the Personal Information, including protection against unauthorized or lawful processing and against accidental loss, destruction or damage.
RELATIONSHIP
If you are receiving access to the Software and Services, it is because TimeSmart.AI has entered into a contractual relationship with your employer or a health care institution with which you are contracted to perform services (herein the "Subscriber"). Pursuant to its agreement with Subscriber, the Subscriber may provide certain information about you directly to TimeSmart.AI to facilitate the use of the Software and Services. This information may include contact information, employment status, terms of your contract, medical specialty, payment information, hours worked, and the like. TimeSmart.AI will use this information pursuant to its agreement with Subscriber. If you have any questions regarding the information that Subscriber provides to TimeSmartAI or concerns with how that information is used, please direct such inquiries to Subscriber.
COLLECTION OF INFORMATION
Personal Data
When you register for, access, or use a component of the Services, we collect certain personal information, including a unique username and password. We may also receive certain personal information that you have previously provided to Subscriber, such as phone number, postal address, e-mail address, and National Provider Identifier. We may also collect and use any other information that you may provide while accessing or using the Software and Services or communicating directly with us. All collectively referred to as "Personal Data". You are under no obligation to provide us with personal information of any kind, however your refusal to do so may prevent you from using certain features of the Software and Services.
We only have access to and collect Personal Information that is provided by Subscriber or that you voluntarily give us by registering for an account, submitting content through the Software and Services or via email or other direct communication from you.
Information Collected by Automated Means
Whenever you use the Platform, Software and Services, we and/or our service providers, may
use a variety of technologies that automatically collect information about how the Platform is
accessed and used ("Usage Information"). Usage Information may include, in part, the IP
address from which the Software and Services is accessed, browser type, operating system, the
page viewed, the time, how many users visited the Platform, and the website you visited
immediately before the Platform. This statistical data provides us with information about the
use of the Platform, such as how many visitors visit a specific page on the Platform, how long
they stay on that page, which websites they are coming from and which hyperlinks, if any, they
"click" on. Usage Information helps us to keep the Platform user friendly and to provide visitors
with readily accessible and helpful information. We may also use your Usage Information to
troubleshoot issues with access or use of our Platform and to improve the Software and Service.
Usage Information is generally non-identifying, but if we associate it with you as a specific and
identifiable person, we treat it as Personal Information.
We believe that such technology usage is fair, lawful, and proportional to the legitimate interest and needs of our business, and that our methodology fairly addresses each user's legitimate rights and expectations in view of the context and purpose for the collection and use of the information collected.
Financial Data
We do not collect, store, or otherwise maintain any credit card information through the Platform or Software. For users of the Software, we may receive bank account information to facilitate payments made by Subscriber to you. This information is typically provided by the Subscriber and subject to the terms of the agreement between TimeSmartAI and Subscriber. Except as required under the agreement with the Subscriber, TimeSmartAI does not use or disclose any bank account information to any third-party.
Device Identifiers
When you access the Software and Services by or through a device, we may access, collect, monitor or remotely store one or more "device identifiers". Device identifiers allow us to uniquely identify your device and are used to enhance the Software and Services (including sending updates and information from the Software and Services).
Analytics
When you access our Software and Services, we may collect information (either directly or using third party services) using logging and cookies which can sometimes be correlated with Personal Information. We use this information to monitor and analyze use and interest in the Software and Services. See the section on "Service Providers" for more detail in this respect.
Log and Derivative Data
Our servers automatically collect information when you access or use our Software and Services and record it in log files. This log data may include the Internet Protocol (IP) address, the address of the web page visited before using the Software and Services, the purchases that you make, the products you view, browser type and settings, the date and time the Software and Services were accessed, information about browser configuration and plugins, language preferences and cookie data.

We generally use information that we collect for the purposes of fulfilling our contractual obligations to you or the Subscriber, in furtherance of our legitimate interests in operating the Software and Services and our business where you have consented to such usage. Only employees, service providers and subcontractors who need the Personal Information to perform a specific job are granted access to Personal Information. The computers/servers in which we store Personal Information are kept in a secure environment.
MISCELLANEOUS
TimeSmartAI servers are located in the United States. We make no representation that this Privacy Policy and our practices comply with the laws of any other country or jurisdiction. If you reside outside of the United States, by using the Platform, Software and Services, you consent to the transfer, processing, and use of your information outside of your country.
We may use non-identifiable anonymous data that is based on users' access or use of the Platform and/or Software and Services that may be used by us to improve the Platform and/or the Software and Services. We may also use anonymized data based on your use of the Service and combine such de-identified data with data or other anonymous data ("Aggregate Data"). Aggregate Data may include information that describes the habits, usage patterns, survey responses and/or demographic information of users as a group but does not identify any particular users. We may provide anonymized data and Aggregate Data to our third-party collaborators and partners.
Please note that if you are using our Software, while we can identify the data we have about you, and change or correct any Personal Information that is incorrect, we may not be in a position to delete such data unless permitted by our agreement with Subscriber. Any concerns regarding the deletion or continued use of data should be addressed with Subscriber.
